Service Terms
The short version. Every engagement starts with a one-page Deal Sheet. It's the only thing you sign (it includes your authorization for us to talk to your vendors), and if it ever differs from these Terms, the Deal Sheet wins.
- Your savings report is free. If we can't save you money, you pay nothing.
- If we do, you keep 70%. We keep 30% of the locked monthly saving for 12 months. After that, you keep it all.
- Refunds and credits: 30% once. Cheaper supplies: the same rule, 30% of the saving on each delivery for 12 months.
- You only pay after the saving shows up on your own statement. If the vendor raises the price, your payment drops to match. It never goes up.
- After the first 3 months you can buy out the rest of the year at 25% of what's left.
Version: 2026-11-01 Published at: skimcheck.ca/terms
These Terms apply to every Skimcheck Deal Sheet you sign with Cigcola Advertising Inc., operating as Skimcheck (“we”, “us”). Your signed Deal Sheet (including its Authorization), these Terms and any separate Letter of Authorization a vendor requires together form our agreement. If anything here conflicts with your Deal Sheet, the Deal Sheet wins. We may update these Terms for new Deal Sheets; the version you signed applies to yours unless you agree in writing to a newer one.
1. Definitions
1.1 Effective Date means the date the Deal Sheet is signed.
1.2 Deal Sheet means the one-page Skimcheck Deal Sheet you sign, including the categories you tick and its Authorization paragraph.
1.3 Locked Monthly Saving means the average Verified Savings shown on the first two statements after implementation (Section 5). For supplies, the saving is measured on each delivery invoice (Section 5A).
1.4 Verified Savings means savings, refunds or credits that appear on your actual statements or invoices after implementation and are measured under Section 5 or 5A, including savings you implement yourself under Section 9.1A.
1.5 Notice addresses means the addresses on the Deal Sheet: for you, the business contact and email given there; for us, 501 Nicola St, Vancouver, BC and hello@skimcheck.ca.
2. What We Do (Scope)
2.1 We review your recurring and supplier spend across any category you choose to find overcharges, unnecessary fees, better rates, or lower-cost equivalents (the “Audit”).
2.2 Categories covered (examples — tick all that apply, or describe others):
- Supplies (janitorial, paper, disposables, packaging, motor oil and similar consumables) — see Section 5A
- Advertising / ad spend
- Software and SaaS
- Card processing (merchant services)
- Telecom / phone
- Internet
- Waste / recycling
- Equipment or premises leases
- Contractors and professional services
- Other: [OTHER_CATEGORY]
We are here to navigate you through this increasingly expensive world by finding out exactly where you are being skimmed.
2.3 Authorization. By signing the Deal Sheet you authorize us, through its Authorization paragraph, to contact your existing vendors for the categories you ticked, request quotes, rates, credits and account information, and negotiate on your behalf. If a vendor requires its own authorization form, we will ask you to sign a separate Letter of Authorization (“LOA”) for that vendor only.
2.4 We may recommend switching vendors only when we believe the switch is clearly justified after total cost, contract terms, exit fees and service quality. If we would receive any referral fee, commission or other benefit from a recommended vendor, we will tell you in writing before you decide (see the Referral Disclosure). Switching is always your decision.
2.5 What we never do without your separate written authorization: access your bank accounts; move, hold or receive your money; change processor, terminal or account settings; or sign, renew or cancel any contract for you. We never ask for full card numbers, PINs or online-banking passwords.
3. Documents You Provide
3.1 To start, you may give us only the summary figures for each account or category (for example, monthly card sales and fees, monthly ad spend, number of deliveries or cases of supplies, cleaning or waste pickup frequency, or the provider’s name), or a summary page with account numbers hidden. Before we contact a vendor for you, you will provide, for each category in scope:
- The last [BASELINE_MONTHS: 3] months of statements, invoices, or reports (and up to [LOOKBACK_MONTHS: 12] months if available, for refund claims) — including volume of supplies or deliveries, cleaning and waste service levels, advertising spend and campaign data, contractor invoices, software licenses, and similar records as relevant to the category;
- Current contracts, rate schedules, pricing addenda and any amendments;
- Equipment/lease agreements and early-termination terms;
- Account numbers and vendor contact details needed to act under the Deal Sheet Authorization (or any vendor LOA).
3.2 You confirm the documents are complete and accurate to your knowledge. You may redact information not needed for the Audit.
4. Fee: No Savings, No Fee
4.1 Contingency fee. For each saving, you pay us 30% of the Locked Monthly Saving each month for 12 months from the Implementation Date (the “Fee Period”), then nothing: you keep 70%, we take 30% for one year, and after that the saving is all yours. Your monthly payment never goes up. If the vendor raises the price, your payment drops to match the saving that remains (30% of it), and stops if no saving remains, once you show us the statement and tell us in writing. Refunds and credits: 30% once. Supplies: the same 30% for 12 months, measured per delivery invoice (Section 5A).
4.2 No savings, no fee. If we find no Verified Savings, you owe us nothing. There are no upfront, hourly or expense charges unless you agree to them in writing in advance.
4.3 Taxes. Fees are exclusive of GST, HST, sales tax or any other applicable taxes, which will be added to invoices only if and when we are registered to collect them in the relevant jurisdiction.
5. Verified Savings
5.1 Baseline. For each vendor or category in scope, the Baseline is the average of your relevant fees, rates, or unit costs over the last [BASELINE_MONTHS: 3] full months before the Effective Date, measured at the same volume, quantity, or service level.
- Card processing and similar percentage-based fees: Baseline Effective Rate = total fees ÷ total volume over the baseline period, adjusted for mix as shown in Schedule A.
- Fixed or unit-based costs (telecom, internet, waste, leases, supplies, advertising, contractors, software, etc.): Baseline = average monthly charge or unit cost for the same services, quantity, and service level.
5.2 Monthly measurement. Savings are measured each month as:
- Card processing: (Baseline Effective Rate − New Effective Rate) × your actual processed volume that month.
- Fixed bills: Baseline monthly charge − new monthly charge, for the same services, quantity and service level.
5.3 Adjustments. We exclude changes not caused by our work, such as: card-network (interchange or assessment) or government fee changes, up or down, that apply to all merchants and that your processor passes through without our involvement; services you add or drop; and changes in volume or mix (handled by the rate method above). However, if your processor did not pass a network-wide reduction through to you and our work causes it to do so, or recovers amounts you were overcharged because it was not passed through, that saving or refund is Verified Savings. Any adjustment method is shown in Schedule A.
5.4 One-time refunds and credits. Refunds, credits, waived fees or back-billing corrections obtained through our work are charged once at [FEE_PERCENT: 30]% of the amount actually received or credited to you.
5.5 Implementation Date. The first billing cycle in which the new rate, charge or credit actually applies to your account.
5.6 Verified means shown on your actual statements after implementation. Savings that are only promised, or that never appear on a statement, are not Verified Savings.
5A. Supplies Comparison (if ticked in 2.2)
5A.1 What we do. We compare the supplies you already buy against cheaper equivalent products (same size, grade, specification and pack count, or a spec you approve in writing) from your current supplier or another supplier.
5A.2 You decide. You choose whether to switch any product. We do not guarantee quality, fit or availability of any product; you are responsible for checking that a substitute meets your needs, safety rules and any warranty or manufacturer requirements (for example, oil specifications).
5A.3 Fee. For each product you switch on our recommendation, you pay [SUPPLY_FEE_PERCENT: 30]% of the Supply Savings on each delivery of that product for 12 months from the first switched delivery (the supplies Fee Period), then the fee on that product ends. This applies whenever you switch to the product (or substantially the same product from the supplier we identified) within [TAIL_MONTHS: 6] months of our recommendation, including if you order it directly.
5A.4 Supply Savings per delivery = (Baseline unit price − new unit price) × units actually delivered, where the Baseline unit price is the average delivered unit price (after any discounts, rebates and delivery charges) on your last [SUPPLY_BASELINE_INVOICES: 3] invoices for that product. The fee is measured on each delivery invoice, as shown on your actual invoices; you send us those invoices within [STATEMENT_DAYS: 15] days of receipt.
5A.5 If a delivery shows no saving (for example, a supplier price increase that applies to all customers), no fee is owed on that delivery. The supplies Fee Period still ends 12 months after the first switched delivery.
6. Your Implementation Duties
6.1 You will, within [RESPONSE_DAYS: 10] business days of our request: sign required vendor forms, approve or decline recommendations, and provide any further information reasonably needed.
6.2 You will send us each new statement for in-scope accounts during the Fee Period, within [STATEMENT_DAYS: 15] days of receipt (or give us read-only statement access if you choose).
6.3 You will tell us promptly if you change, renew, or cancel an in-scope vendor or account.
6.4 If you decline or fail to implement a recommendation that a vendor has agreed to in writing, no fee is owed on it, unless you implement it (or substantially the same terms) within [TAIL_MONTHS: 6] months, in which case Section 9 applies.
7. Savings Reports and Invoicing
7.1 Once the Locked Monthly Saving is set, we send you a one-page Savings Report showing the Baseline, the new rate or charge, the Locked Monthly Saving and your fixed monthly payment.
7.2 If you think a figure is wrong, tell us in writing within 30 days of the report or any charge; we will review in good faith and refund or correct any error.
8. Payment Terms
8.1 Payment setup. After the first Savings Report is issued and the saving has appeared on your statement, we will send you a secure link to authorize the card or pre-authorized debit account you choose. Payments start only after the saving is confirmed, and are charged on the same day each month for the Fee Period. You may change the payment method on written notice.
8.2 Overdue amounts bear interest at 1.5% per month (19.56% per year), compounded monthly, from the due date.
8.3 We may pause work on unpaid accounts after 30 days overdue and written notice.
9. If You Switch Vendors or Cancel
9.1 Switch with our recommendation. Savings from a switch we recommended are measured against the original Baseline and are Verified Savings.
9.1A Savings you implement yourself. If you implement yourself a saving we identified (the same vendor, product or terms, or substantially the same) within [TAIL_MONTHS: 6] months of our recommendation, it is Verified Savings and the same fee applies: 30% of the Locked Monthly Saving for 12 months (supplies: Section 5A.3), starting once the lower cost shows on your statement.
9.2 Switch or cancel on your own during the Fee Period. If you replace or cancel an account after we have implemented savings on it, fees on that account stop from the date the change takes effect. However:
- (a) if you switch to a vendor we introduced, or to terms we negotiated, the switch is treated as Section 9.1; and
- (b) if, within [TAIL_MONTHS: 6] months of cancelling, you re-establish an account with the same vendor (or its affiliate) on the same or lower rates than we obtained, fees resume for the rest of the Fee Period, measured against the original Baseline.
9.3 Early buy-out (optional). After the first 3 months of the Fee Period on an account, you may end the fee on that account at any time by paying, in one lump sum, 25% of the fees that would remain for that account, calculated as: average monthly fee for that account over the last 3 invoiced months (or all invoiced months, if fewer) × months remaining in its Fee Period × 25%.
9.4 Closing your business. Fees end when you permanently stop trading, on written notice with reasonable evidence.
10. No Guarantee
We do not promise any particular result. Vendors decide whether to change rates or issue credits. Our analysis relies on the documents you give us and on vendor information we do not control.
11. Confidentiality
11.1 Each party keeps the other’s non-public information confidential and uses it only for these Terms.
11.2 Exceptions: information that is public, already known, independently developed, or that must be disclosed by law (with prompt notice where lawful).
11.3 We may use anonymized, aggregated data (no business or personal identifiers) to improve our benchmarks. We will not name you as a client without your consent.
12. Privacy and Data Retention
12.1 We handle any personal information in your documents under the Personal Information Protection Act (British Columbia) (“PIPA”) and our Privacy Policy at skimcheck.ca/privacy, and under any equivalent privacy laws that apply as we operate in other jurisdictions.
12.2 We collect only what we need for the Audit, keep it secure, and disclose it only to your vendors as authorized in the Deal Sheet (or any vendor LOA) and to service providers who are bound to protect it.
12.3 Retention. We delete or securely destroy your documents within [RETENTION_DAYS: 90] days after these Terms end, except: (a) Savings Reports and invoices, which we keep as business and tax records for the period required by law; (b) any personal information we used to make a decision about an individual, which applicable privacy law requires we keep for at least one year after use; and (c) anonymized data under 11.3. We will confirm deletion in writing on request.
13. Limitation of Liability
13.1 Our total liability under or relating to these Terms, for all claims combined, is limited to the greater of (a) the fees you actually paid us under these Terms in the [LIABILITY_LOOKBACK_MONTHS: 12] months before the claim arose, and (b) $ [LIABILITY_FLOOR: 5,000].
13.2 Neither party is liable for indirect, consequential, special or punitive damages, or lost profits. This exclusion does not apply to fraud or wilful misconduct, or to your obligation to pay fees.
13.3 Your responsibility. You confirm that you have authority over every account you list in Schedule A and on the Deal Sheet (or any vendor LOA), and that the documents you give us are yours to share. You will reimburse us for reasonable costs and claims arising from a third party’s claim that you lacked that authority or permission.
13.4 Nothing limits liability that cannot be limited by law.
14. Term and Termination
14.1 The Audit phase runs for [AUDIT_TERM_MONTHS: 6] months from the Effective Date, then continues until all Fee Periods end.
14.2 Either party may end the Audit phase on [NOTICE_DAYS: 30] days’ written notice. Termination does not end fees on savings already implemented, or on savings a vendor had agreed to in writing before termination and you implement within [TAIL_MONTHS: 6] months; those fees continue for their full Fee Period.
14.3 Either party may terminate immediately on written notice if the other materially breaches and does not fix it within [CURE_DAYS: 15] days, or becomes insolvent.
14.4 Sections 1, 4, 5, 5A.3–5A.5, 6.2–6.4, 7–13 (including 9.1A) and 15 survive termination.
15. General
15.1 Governing law. These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Disputes go to the courts of British Columbia, or to the Civil Resolution Tribunal where it has jurisdiction (most claims up to $5,000). As we expand operations outside British Columbia or Canada, we may designate a different governing law and venue for clients in those jurisdictions by written notice; until then, British Columbia law and venue apply.
15.1A Talk first. Before starting any claim, the party with the complaint will send a written notice and both parties will try in good faith to resolve it for 15 business days.
15.2 Independent contractor. We are not your employee, agent (except as set out in the Deal Sheet Authorization or any vendor LOA), lawyer, or financial advisor.
15.3 Entire agreement. Your signed Deal Sheet (including its Authorization), these Terms and their Schedule, any vendor-specific LOA and any signed Referral Disclosure are the whole agreement. Changes must be in writing and signed by both parties.
15.4 Notices go to the notice addresses (Section 1.5) or by email to hello@skimcheck.ca and [CLIENT_NOTICE_EMAIL].
15.5 Assignment. You may not assign without our consent. We may assign to an affiliate or a buyer of our business on notice.
15.6 Counterparts and e-signature are valid.
15.7 Severability. If any part of these Terms is found unenforceable, the rest stays in effect and the unenforceable part is read down to the extent needed.
15.8 Business use only. You confirm you are entering these Terms for business purposes, not personal, family or household purposes.
Schedule A: Accounts and Baseline
| # | Vendor | Account (last 4) | Category | Baseline period | Baseline | Notes |
|---|---|---|---|---|---|---|
| 1 | [VENDOR] | [XXXX] | [CATEGORY] | [MM/YYYY–MM/YYYY] | [BASELINE] | [NOTES] |
Adjustment method (if any): [ADJUSTMENT_METHOD]
Worked example (card processing)
Baseline effective rate 3.10%. After implementation, new effective rate 2.60% on $50,000 actual monthly volume. Monthly Verified Savings = 0.50% × $50,000 = $250. Locked fee at 30% = $75 a month for 12 months (+ applicable taxes once Skimcheck is registered), then nothing.
Worked example (supplies)
Baseline $42.00 per case of paper towel; new equivalent $34.50 per case; 10 cases per delivery. Supply Savings = $7.50 × 10 = $75 per delivery. Fee at 30% = $22.50 per delivery, for 12 months from the first switched delivery, then nothing (for example, $270 over the year at one delivery a month). A delivery with no saving owes no fee.
